CharSun.AI Terms of Service

Welcome to CharSun.AI (hereinafter referred to as "the App").

1. Your use of the CharSun.AI platform’s services must comply with the terms and conditions published by the platform;
2. By registering an account and using the services on the CharSun.AI platform, you acknowledge that you have fully understood and agree to accept the platform’s terms and conditions, as well as any specific rules, procedures, terms, and conditions that CharSun.AI may update or adjust at any time. These rules apply to all products, services, or facilities provided by CharSun.AI;
3. If you do not agree with any part of this agreement, you should avoid registering or using the CharSun.AI platform. Your registration (including clicking the registration button), logging in, or using the platform constitutes your acknowledgment that you have read, understood, and agree to comply with all the terms and conditions of this agreement;
4. CharSun.AI reserves the unilateral right to revise and update this agreement, including but not limited to introducing new terms or repealing existing ones. These changes will be communicated to users by publishing the updated terms on the platform. Users are responsible for regularly checking for updates. Continuing to use the services of the CharSun.AI platform indicates your acceptance of any changes that may affect you. Unless otherwise explicitly stated, the new terms will take effect immediately upon publication on the website;
5. You are solely responsible for safeguarding your CharSun.AI account information and password. All actions and activities carried out through your account are considered your personal actions, and you will be personally liable for them.

1.Definitions

In this agreement, unless the context clearly indicates otherwise, the following terms and expressions shall have the following meanings:

1. Account: Refers to the formally registered account of a user on the CharSun.AI platform, which is a prerequisite for the user to enjoy the services provided by the platform;
2. User: Refers to any individual who directly or indirectly uses the services of the CharSun.AI application;
3. Parties: Refers to the CharSun.AI platform and the user, where “one party” refers to either the CharSun.AI platform or the user;
4. Services: Refers to all services provided by the CharSun.AI platform, including but not limited to the retail of digital goods and content distribution;
5. Terms and Conditions: Refers to all the terms and conditions listed in this document, as well as any additional documents or attachments that specify the rights and obligations of users on the CharSun.AI platform;
6. Privacy Policy: Refers to the rules and policies established by the CharSun.AI platform regarding the processing of user personal information and privacy protection.

2.Special Declaration

Individuals under the age of eighteen are prohibited from using this service. By registering and using this service, you represent and warrant that:

1. You have reached the legal age of majority, or if you are a minor, you are the legal guardian or parent of all minors involved in your user content.
2. You have full power and authority to grant the rights described in these terms.
3. You own all necessary rights to your user content, name, and/or likeness, and you have obtained all licenses and permissions required to publish such content and grant the rights described in these terms.
4. The licensee's use of your user content, name, and/or likeness will not infringe upon the legal rights of any third party, nor will it violate any applicable laws or regulations.
5. Your user content, name, and/or likeness do not contain any confidential, defamatory, obscene, abusive, threatening, harassing, or otherwise illegal information.
6. You hereby fully release and discharge the licensee from all liabilities related to their use of your user content, name, and/or likeness, and you guarantee that the licensee and its representatives will not suffer any damages as a result.
7. If necessary, you will sign all necessary documents to protect, perfect, or fulfill the rights you grant to CharSun.AI under these terms.
8. You agree that CharSun.AI's failure to exercise or enforce any rights or provisions in these terms does not constitute a waiver of such rights, and these rights or provisions remain in effect.
9. If a court of competent jurisdiction determines that any provision in these terms is invalid or unenforceable, such provision will be excluded, but this will not affect the validity and enforceability of other provisions.
10. Even if a provision is excluded, the remaining parts of these terms will continue to be valid and enforceable.
11. All user content you submit through this service, including all personally identifiable names or likenesses, will be incorporated and used in accordance with the terms of service.
12. It is expressly stated that you retain all rights to the user content you submit, provided that you must own the original rights to such content.
13. By submitting user content to CharSun.AI, you grant CharSun.AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, create derivative works, display, perform, and promote user content related to CharSun.AI services.
14. You also grant each subscriber of the services a non-exclusive license to access and display your user content through the services, email, and mobile devices.
15. Once you remove or delete user content from the CharSun.AI services, the above license granted to CharSun.AI and its subscribers will terminate accordingly.

3.Service Privacy Statement

THIS SERVICE PROVIDES A TECHNICAL PLATFORM THAT IS AN AI-BASED PERSONAL EMOTIONAL COMPANIONSHIP APPLICATION. THE MODEL LEARNS ABOUT YOUR INTERESTS THROUGH THE DATA AND INFORMATION UPLOADED TO THIS SERVICE OR THROUGH THE ACCOUNTS YOU INTEGRATE WITH THIS SERVICE. THE SERVICE AIMS TO PROVIDE YOU WITH EMOTIONAL SUPPORT THROUGH INTELLIGENT CONVERSATIONS, HELPING YOU EASE YOUR EMOTIONS AND RECORD YOUR MOOD AND ITS REASONS FOR EACH SIGNIFICANT MOMENT. THE SERVICE EXTRACTS NOTES, IMAGES, AUDIO, TEXT, AND OTHER CONNECTED DATA SOURCES, UTILIZING THIS INFORMATION FOR EFFICIENT BRAINSTORMING AND PROACTIVELY OFFERING INFORMATION THAT MEETS YOUR SPECIFIC TASTES AND NEEDS.

4.User Account

1. To establish an account on CharSun.AI, users must provide some basic information for registration, such as an account and password.
2. We require users to take full responsibility for the security of this information, including protecting their account passwords, limiting access to their computers, and monitoring all activities conducted using their account or password.
3. Users are obligated to provide truthful and accurate personal information when filling out their profiles, including but not limited to their name, phone number, address, and email address.
4. After registering correctly on the website, users can access the app for use by entering their login details on the login page.
5. By registering on the website, users acknowledge that they have read, understood, and accepted all terms and conditions, including the privacy policy, and agree that CharSun.AI may process the personal data transmitted to them during the registration process, for the purpose of providing services on the website.
6. Users are obligated to take reasonable measures to ensure that their account always has an up-to-date email address.
7. If users violate these terms and conditions or current laws, CharSun.AI reserves the right and possibility to block their accounts.
8. Users acknowledge and agree that CharSun.AI may, at its sole discretion, refuse or allow them to use the service without providing any reason or notice. Users are obligated to ensure the security and confidentiality of their account passwords. Users must not disclose or reveal their account passwords to any unauthorized party at any time or under any circumstances, and must take all measures to prevent such disclosure.
9. Users acknowledge that sharing their accounts or allowing others, apart from themselves, to access their accounts may cause irreparable harm to CharSun.AI or other users. Users are obligated to protect CharSun.AI and its partners from losses and damages caused by third parties using their accounts.
10. Any notifications or confirmations received by CharSun.AI from your account will be deemed to be issued by you, even if such notifications or confirmations may have been sent by a third party (whether authorized or not), and you shall remain bound by such notifications or confirmations.
11. If users are aware or believe that their accounts have been hacked or compromised, they should immediately notify CharSun.AI.
12. Until CharSun.AI receives the notification described in Clause 4.11, users shall be responsible for all transactions conducted through their accounts.

5. Use of Service

Your use and access to CharSun.AI services is entirely based on your compliance with these terms of service and applicable laws and regulations. You agree to abide by these terms of service and the guidelines of the CharSun.AI community, and you guarantee that you will not engage in the following behaviors:

• 5.1 Create, upload, transmit, distribute, or store any inaccurate, illegal, infringing, defamatory, obscene, pornographic, privacy-infringing, harassing, threatening, abusive, inflammatory, or otherwise objectionable content;
• 5.2 Impersonate any individual or entity, falsely claim affiliation with any individual or entity, or access another person's account without permission, forge another person's identity, or transmit any content through the service that constitutes fraudulent activity;
• 5.3 Defame, harass, abuse, threaten, or deceive platform users, or collect or attempt to collect personal information about users or third parties without their consent;
• 5.4 Delete, circumvent, disable, damage, or otherwise interfere with security-related features of the service or user content, prevent or restrict the use or copying of any content accessible through the service, impose limitations on the use of the service or user content, or remove copyright or other ownership notices from the service or user content;
• 5.5 Engage in reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the service or any part thereof, except to the extent such activities are expressly permitted by the laws of your jurisdiction;
• 5.6 Modify, adapt, translate, or create derivative works based on the service or any part thereof, except to the extent such activities are expressly permitted by applicable law;
• 5.7 Interfere with or damage the operation of the service or any user's enjoyment of the service in any way, including uploading or otherwise spreading viruses, adware, spyware, worms, or other malicious code;
• 5.8 Manipulate identifiers to conceal the source of any user content transmitted through the Twitch service;
• 5.9 Interfere with or disrupt the service or servers or networks connected to the service, or violate any requirements, procedures, policies, or regulations of networks connected to the service; use the service in any manner that may interfere with, disrupt, negatively impact, or prevent other users from fully enjoying the service, or in any way damage, disable, overburden, or impair the functionality of the service;
• 5.10 Attempt to bypass any content filtering technology we employ, or attempt to access any services or areas of the service to which you are not entitled;
• 5.11 Use the service for any illegal purpose or violate any local, state, national, or international laws or regulations, including but not limited to those governing intellectual property and other ownership rights, data protection, and privacy laws. CharSun.AI is not responsible for any user content or any loss or damage resulting therefrom, nor is it liable for any errors, defamation, slander, omissions, falsehoods, obscenity, pornography, or profane activities you may encounter while using the service. You assume all risks associated with your use of the service. Furthermore, these provisions do not create any private right of action for any third party, nor is it reasonably expected that the service will not contain any content prohibited by such provisions.

CHARSUN.AI IS NOT RESPONSIBLE FOR ANY STATEMENTS OR REPRESENTATIONS MADE IN USER CONTENT. CHARSUN.AI DOES NOT ENDORSE ANY OPINIONS OR RECOMMENDATIONS CONTAINED IN USER CONTENT AND ASSUMES NO RELATED LIABILITY. TO THE EXTENT PERMITTED BY LAW, CHARSUN.AI RESERVES THE RIGHT TO REMOVE OR EDIT ANY CONTENT ON THE SERVICE AT ANY TIME WITHOUT NOTICE, PARTICULARLY IF THE CONTENT VIOLATES THE TERMS OF SERVICE OR THE LAW. YOU ARE RESPONSIBLE FOR BACKING UP AND REPLACING ANY CONTENT YOU POST OR STORE, AT YOUR OWN EXPENSE. VIOLATIONS OF THE TERMS OF SERVICE MAY RESULT IN THE TERMINATION OR SUSPENSION OF YOUR RIGHT TO USE THE SERVICE.

6. User Content License

You retain all rights to the content you post. However, by posting your content, you grant CharSun.AI and its officers, employees, subsidiaries, agents, licensees, sublicensees, brand partners, production partners, social media platforms, contractors, successors, legal representatives, assigns, third-party service providers, and their respective brand partners, marketing or PR agencies, and other related entities (hereinafter referred to as "Licensees") the following rights: a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable right to use, publish, broadcast, transmit, distribute, and redistribute your user content and your username and name as Licensees see fit. These uses include but are not limited to:

• Licensees' operated websites and social media platforms;
• Promotional emails and advertisements;
• All other marketing, promotional, and advertising activities;
• Any media channels now known or hereafter discovered.

LICENSEES HAVE THE RIGHT TO DETERMINE HOW TO USE, DISPLAY, REPRODUCE, DISTRIBUTE, AND TRANSMIT YOUR USER CONTENT, CREATE DERIVATIVE WORKS BASED ON YOUR USER CONTENT, COMBINE YOUR CONTENT WITH OTHER MATERIALS, AND MODIFY AND/OR EDIT YOUR CONTENT WITHOUT ANY LIABILITY TO YOU UNDER ANY CIRCUMSTANCES. LICENSEES MAY USE YOUR USER CONTENT OR RELATED NAME AND/OR LIKENESS WITHOUT ANY PRIOR APPROVAL FROM YOU.

NEVERTHELESS, LICENSEES ARE NOT OBLIGATED TO EXERCISE THE RIGHTS GRANTED BY YOU. LICENSEES MAY DECIDE AT THEIR OWN DISCRETION WHEN TO START USING, CONTINUE USING, STOP USING, REUSE, OR NOT USE YOUR USER CONTENT OR NAME AND/OR LIKENESS. LICENSEES' USE OF YOUR USER CONTENT OR NAME AND/OR LIKENESS DOES NOT IMPLY ANY ENDORSEMENT OR AFFILIATION WITH YOU. YOU HEREBY WAIVE YOUR RIGHT TO REVIEW OR APPROVE LICENSEES' USE OF YOUR USER CONTENT OR NAME AND/OR LIKENESS.

7. Payment Terms

We accept various payment methods, including major credit cards and certain debit cards. When selecting any payment method, you must comply with the relevant terms and conditions. By making a purchase through our services, you agree to authorize us or our authorized payment processor to deduct the amount from the account you have specified.

To ensure smooth transactions and comply with all relevant international, national, federal, state, and local laws and regulations, our payment processing partners may require you to provide certain personal information, including but not limited to a valid government-issued ID, your legal name, residential address, and date of birth. They reserve the right to communicate with you directly if any issues arise during the payment process.

IF YOUR ONLINE PURCHASE ATTEMPT IS DECLINED DUE TO A PAYMENT ISSUE, PLEASE CAREFULLY REVIEW AND ENSURE THAT ALL PROVIDED INFORMATION IS ACCURATE AND ATTEMPT TO RESUBMIT. 8. User Privacy

Your privacy is extremely important to CharSun.AI. Please refer to our privacy policy to understand how we collect, use, and disclose your personal information, as well as how you can manage your online privacy when using our services.

9. Virtual Items

You must be 18 years of age or the legal age of majority in your region to purchase virtual currency (referred to as "Coins") on the platform. The price of Coins will be clearly displayed when you decide to make a purchase. All fees and payment processes related to Coins will follow the current payment system and be settled in the currency selected at the time of the transaction. Any currency exchange fees, foreign exchange fees, and charges from payment channels will be determined according to your agreement with your payment service provider.

You are responsible for the cost of purchasing Coins. Upon purchase, the corresponding Coins will be added to your account for you to use to purchase gifts. Please note that Coins have no cash value and cannot be exchanged for legal currency, the currency of any specific region or political entity, or any other form of credit. Coins can only be used on the CharSun.AI platform as part of our services and cannot be used in conjunction with any other promotions, coupons, discounts, or special offers unless explicitly permitted by us.

Unless explicitly stated in this agreement, all transactions involving Coins are non-refundable. Once purchased, Coins and gifts cannot be exchanged for cash and will not be refunded or compensated for any reason.

10. Intellectual Property

ALL TEXT, DATA, IMAGES, CHARTS, AUDIO, VIDEO, AND OTHER MATERIALS CONTAINED WITHIN THE CHARSUN.AI SERVICE ARE THE PROPERTY OF CHARSUN.AI AND ARE STRICTLY PROTECTED BY COPYRIGHT LAW, TRADEMARK LAW, AND OTHER INTELLECTUAL PROPERTY RIGHTS LAWS. NOTHING IN THIS SERVICE AGREEMENT SHALL BE INTERPRETED AS TRANSFERRING ANY INTELLECTUAL PROPERTY RIGHTS OR ANY FORM OF LICENSE TO YOU.

WHEN YOU UPLOAD ANY LIVE CONTENT OR OTHER MATERIALS TO THE PUBLICLY ACCESSIBLE AREAS OF CHARSUN.AI'S WEBSITE VIA THE SERVICE, YOU GRANT CHARSUN.AI AND ITS SUBLICENSEES A FREE, PERMANENT, IRREVOCABLE, NON-EXCLUSIVE, AND FULLY SUBLICENSABLE RIGHT AND LICENSE. THIS MEANS CHARSUN.AI CAN USE, COPY, MODIFY, ADAPT, PUBLISH, TRANSLATE, EDIT, PROCESS, CREATE DERIVATIVE WORKS FROM, DISTRIBUTE, PERFORM, AND PUBLICLY DISPLAY THESE CONTENTS (IN WHOLE OR IN PART) FREELY, WITHOUT REQUIRING FURTHER CONSENT FROM YOU OR COMPENSATION TO YOU, AND INTEGRATE THESE CONTENTS INTO EXISTING OR FUTURE WORKS, MEDIA, OR TECHNOLOGY.

11. Termination of Service

• To the fullest extent permitted by law, CharSun.AI reserves the right to terminate your use of the service at any time, at its sole discretion, without prior notice, including but not limited to the publication of user content. We may take this action to prevent or limit your future access to the service if we reasonably believe:
• You are using the service in violation of the service agreement or any applicable laws;
• You are using the service fraudulently or abusing it;
• Due to technical or legal business reasons, we are unable to continue providing the service to you.

This may include the termination or suspension of your access to any purchased products or services. To the maximum extent permitted by law, if you are dissatisfied with the service, the terms of service, CharSun.AI's policies, or any content or information transmitted through the service, your sole remedy is to close your account and discontinue use of the service.

12. Disclaimer

YOU ASSUME ALL RISKS ASSOCIATED WITH USING THE CHARSUN.AI SERVICE. YOUR USE OF THE SERVICE OR RELIANCE ON INFORMATION FROM THE SERVICE IS ENTIRELY AT YOUR OWN DISCRETION AND RISK.

IN NO EVENT DOES CHARSUN.AI GUARANTEE THAT THE SERVICE WILL MEET YOUR EXPECTATIONS OR THAT THE SERVICE WILL ALWAYS OPERATE WITHOUT INTERRUPTION. THE CONTINUITY, SECURITY, AND ACCURACY OF THE SERVICE ARE NOT GUARANTEED BY CHARSUN.AI. YOU UNDERSTAND AND AGREE THAT THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. CHARSUN.AI MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS REGARDING THE OPERATION AND PROVISION OF THE SERVICE. CHARSUN.AI MAKES NO WARRANTIES REGARDING THE PERFORMANCE, TIMELINESS, ACCURACY, OR COMPLETENESS OF THE SERVICE AND IS NOT RESPONSIBLE FOR ANY CONSEQUENCES ARISING FROM YOUR USE OF THE SERVICE.

CHARSUN.AI DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY EXTERNAL LINKS THAT MAY BE INCLUDED IN THE SERVICE. CHARSUN.AI IS NOT RESPONSIBLE FOR ANY THIRD-PARTY WEBSITES OR ANY CONTENT INCLUDED IN THOSE WEBSITES. CHARSUN.AI IS NOT LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES OR OBLIGATIONS RESULTING FROM YOUR USE OF THE SERVICE.

13. Legal Jurisdiction

The interpretation and enforcement of this service agreement, and any disputes arising from or related to this agreement, including questions of its validity, interpretation, or termination, shall be governed by the laws of Singapore. All such disputes shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with the then-current arbitration rules of the center. The arbitration proceedings shall be conducted in English, and Singapore shall be the location of the arbitration.

14. Severability

If any provision of these terms and conditions is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render the entire terms and conditions unenforceable or invalid. Any such provision shall be deleted without affecting the remaining provisions of these terms and conditions.

15. Entire Agreement

These terms and conditions, including any legal notices and disclaimers contained on this website, constitute the entire agreement between HAWA and you concerning your use of this website and supersede all prior agreements and understandings.

16. Information Requests

All requests for information or documents related to legal proceedings, investigations, or disputes, including third-party requests for user information, must follow legal procedures and be properly handled by the CharSun.AI platform in accordance with regulations. This means CharSun.AI will act lawfully to ensure all requests are processed through proper legal channels to protect users' rights and privacy.

17. Modification of Agreement

We reserve the right to update these terms of agreement at any time, which may occur due to updates to service features, integrations with our application or services, or changes in relevant laws and regulations. Therefore, users should regularly review this agreement to stay informed of the latest terms.

PLEASE NOTE THAT ONCE NEW TERMS TAKE EFFECT, YOUR CONTINUED USE OF THE SERVICE WILL BE CONSIDERED ACCEPTANCE OF THE NEW TERMS. IF YOU CHOOSE NOT TO ACCEPT THE NEW TERMS, YOU SHOULD DISCONTINUE USING THE SERVICE. WE ARE COMMITTED TO TRANSPARENCY AND FAIRNESS, SO WE ENCOURAGE USERS TO CLOSELY MONITOR UPDATES TO THE TERMS OF THE AGREEMENT.
